This Coaching Services Agreement (the “Agreement”) is between Eberly Coaching LLC, a Texas limited liability company, represented by Jason Eberly (the “Coach”), and the person or persons signing below (the “Client”). When two partners enroll together, “Client” means both partners jointly and each partner individually.
Coach contact: Eberly Coaching LLC, 5900 Balcones Drive Ste 100, Austin, TX 78731 US · jason@jasoneberly.coach · www.jasoneberly.coach
Fully remote business. Eberly Coaching LLC operates entirely online. The address above is a mailing address for letters and legal notices only. It is not an office, and no coaching takes place there.
The purpose of coaching is to help the Client clarify goals, build skills, and take consistent action toward a healthier relationship and personal well-being. Coaching may be provided to a couple, to one individual, or to a mix of joint and individual sessions within the same membership.
This Agreement works together with the following documents, each of which is part of it once signed:
If anything in a Schedule conflicts with this Agreement, the Schedule controls for its subject.
2.1 What coaching is. Coaching is a collaborative, forward-looking partnership. The Coach asks questions, offers structure, shares frameworks and practices, and holds the Client accountable to goals the Client chooses. The Client decides what to work on and how to apply anything discussed.
2.2 What coaching is not. Coaching is not psychotherapy, counseling, marriage and family therapy, medical care, legal advice, or financial advice. The Coach is a certified mental health and wellness coach. That certification is not a license: the Coach is not a licensed mental health professional and will not diagnose or treat any mental or physical condition. Coaching is not a substitute for those services.
2.3 Referrals. If the Coach believes the Client would be better served by a licensed professional (for example, for depression, trauma, addiction, or a relationship involving abuse), the Coach will say so and may recommend a referral. The Coach may pause or end coaching if continuing would fall outside the Coach’s scope.
2.4 Current care. The Client agrees to tell the Coach if they are currently working with a therapist, psychiatrist, or other mental health provider. Coaching can run alongside therapy, but the Coach may ask to coordinate scope so the two do not conflict.
3.1 Remote only. All sessions are held remotely by secure video (or phone, if agreed). There are no in-person sessions, and the Coach has no office.
3.2 Booking. Sessions are booked through the Coach’s online scheduling system (currently Cal.com). Available session lengths are 30, 60, or 90 minutes.
3.3 Weekly time cap. A membership includes up to 2 hours of session time per week per couple (or per individual client). Joint and individual sessions within a couple’s membership both count toward the same cap. Unused time does not roll over to later weeks and is not refundable.
3.4 Rescheduling and cancellations. The Client may reschedule or cancel a session at no cost with at least 24 hours’ notice through the scheduling system or by email. A session cancelled with less than 24 hours’ notice, or missed entirely, counts as used time for that week, except in genuine emergencies at the Coach’s discretion.
3.5 Lateness. Sessions end at their scheduled time. If the Client is more than 15 minutes late without notice, the session may be treated as a missed session.
3.6 No-shows. More than two missed sessions without notice within any 60-day period may result in the Coach ending the coaching relationship under Section 8.
3.7 Location and setting. At the start of each session the Client agrees to confirm their current physical location (city and state or country) and to join from a private space where they will not be overheard. The Coach may also be working from locations outside the United States while traveling; this does not change any term of this Agreement.
3.8 Between-session contact. The Client may contact the Coach by email or the Coach’s messaging channel for scheduling and brief check-ins. The Coach aims to reply within 2 business days. Between-session messages are not monitored for emergencies (see Section 6).
3.9 Coach availability and travel. The Coach travels regularly and may hold sessions from different time zones. Session times are always shown in the Client’s own time zone when booking. The Coach will give at least 14 days’ notice of any planned break longer than 7 days. For each full week the Coach is unavailable, the Client receives a credit of 25% of the monthly fee on the next bill.
Fees, billing dates, commitment options, and the Discount Recapture rule are set out in Schedule A, which the Client must read and sign. Payments are processed securely through Stripe, including through the checkout on the Coach’s website. The Coach never sees or stores full card numbers. Coaching begins once this Agreement is signed and the first payment is received.
5.1 General rule. The Coach keeps what the Client shares in coaching private and will not disclose it to anyone outside the coaching relationship without the Client’s written permission, except as described in 5.3.
5.2 Not HIPAA-covered. Coaching is not a healthcare service, and Eberly Coaching LLC is not a “covered entity” under HIPAA. Coaching communications are also not protected by legal privilege the way communications with a therapist or attorney may be. The Coach nonetheless follows the privacy practices in Schedule C.
5.3 Exceptions. The Coach may (and in some cases must) share information without permission when:
When safe and practical, the Coach will tell the Client before making any disclosure. The Coach shares only the minimum information needed.
5.4 Couples. Confidentiality between partners is governed by Schedule B.
6.1 Not a crisis service. The Coach does not provide emergency or crisis services and is not available around the clock. In an emergency, call 911 (or the local emergency number), or call or text 988 (the Suicide and Crisis Lifeline, in the US). Outside the US, contact local emergency services.
6.2 Emergency contact. The Client agrees to provide an emergency contact and a current location on the website intake form and to keep both up to date.
6.3 During a session. If a safety concern arises during a session, the Coach may pause coaching to focus on safety, help the Client connect with crisis resources, and act under Section 5.3.
6.4 Relationship safety. Couples coaching is not appropriate when there is physical violence, threats, stalking, or coercive control in the relationship. If the Coach learns of these, the Coach may pause or end joint sessions, offer individual support and referrals, and act under Section 5.3. If either partner’s private safety check raises a concern, the Coach will contact that person privately before any joint session.
The Client agrees to:
8.1 By the Client. The Client may end coaching at any time by written notice (email is fine). Cancellation takes effect at the end of the current paid billing month. Fees already paid for the current month are not refunded. Cancellation must be sent to the Coach directly. Cancelling a card, stopping a payment, or disputing a charge with a bank does not cancel this Agreement, and the Client agrees to contact the Coach about any billing concern before disputing a charge. If the Client is on a commitment term, the Discount Recapture in Schedule A applies.
8.2 By the Coach. The Coach may end coaching at any time, for any reason, by written notice. When the Coach ends coaching, no Discount Recapture or cancellation fee is owed. Reasons may include:
8.3 Refund when the Coach ends coaching. If the Coach ends coaching for reasons other than the Client’s breach of this Agreement (for example, fit or the Coach’s own circumstances), the Coach will refund the unused portion of the current month, prorated by days. If the Coach ends coaching because of the Client’s breach (nonpayment, no-shows, abusive conduct), no refund is owed.
8.4 Referral on exit. When coaching ends for scope or safety reasons, the Coach will offer referral suggestions where possible.
9.1 No guaranteed results. Coaching outcomes depend on many things outside the Coach’s control. The Coach does not promise any particular result, including that a relationship will improve, continue, or end.
9.2 THE CLIENT’S DECISIONS. THE CLIENT UNDERSTANDS THAT COACHING MAY ADDRESS SENSITIVE SUBJECTS AND MAY LEAD TO DIFFICULT CONVERSATIONS OR DECISIONS. THE CLIENT ALONE IS RESPONSIBLE FOR THEIR DECISIONS AND ACTIONS, INCLUDING ANY DECISION TO SEPARATE, END A RELATIONSHIP, OR DIVORCE. THE COACH IS NOT RESPONSIBLE FOR THE CLIENT’S ACTIONS TOWARD THEMSELVES OR OTHERS.
9.3 RELEASE. TO THE FULLEST EXTENT ALLOWED BY LAW, THE CLIENT RELEASES EBERLY COACHING LLC AND JASON EBERLY FROM ANY CLAIM ARISING FROM THE CLIENT’S DECISIONS OR ACTIONS, THE OUTCOME OF THE CLIENT’S RELATIONSHIP, OR HARM THE CLIENT CAUSES TO THEMSELVES OR OTHERS, INCLUDING CLAIMS BASED ON THE COACH’S OWN ORDINARY NEGLIGENCE. THIS RELEASE DOES NOT APPLY TO GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT.
9.4 LIMITATION OF LIABILITY. TO THE FULLEST EXTENT ALLOWED BY LAW, THE TOTAL LIABILITY OF EBERLY COACHING LLC AND JASON EBERLY FOR ANY CLAIM RELATED TO THIS AGREEMENT IS LIMITED TO THE FEES THE CLIENT PAID IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
9.5 Technology. The Coach is not responsible for interruptions or failures of internet service, video platforms, or third-party software outside the Coach’s control. A session lost to the Coach’s technical failure will be rescheduled.
10.1 Eligibility. Each Client must be at least 18 years old.
10.2 Changes to fees or terms. The Coach will give at least 30 days’ written notice before changing fees or this Agreement. A rate locked under a commitment term stays the same until that term ends.
10.3 Intellectual property. Worksheets, frameworks, and materials the Coach provides are for the Client’s personal use only and may not be resold or published.
10.4 Disputes. The parties will first try to resolve any dispute through a good-faith conversation, then through mediation, before going to court.
10.5 Governing law. This Agreement is governed by the laws of the State of Texas, wherever the Client or the Coach is located. Any legal action will be brought in Harris County, Texas.
10.6 Electronic signatures. The parties agree that electronic signatures (including through SignWell) are as valid as handwritten signatures, and that notices may be given by email. Notices to the Coach go to the email or mailing address in Section 1.
10.7 Severability. If any part of this Agreement is found unenforceable, the rest remains in effect, and the unenforceable part will be limited only as much as necessary.
10.8 Entire agreement. This Agreement and its signed Schedules are the complete agreement between the parties and replace any earlier discussions. Changes must be in writing.
10.9 Term and survival. This Agreement starts when the Client signs it and continues month to month (or for the selected commitment term, then month to month) until ended under Section 8. Sections 5, 9, and 10, and any amounts owed, continue to apply after coaching ends.
By signing, each Client confirms that they:
Couples memberships start at $250 per month and drop the longer a couple stays or commits; leaving a commitment early repays the discount already received.
| Plan | Monthly rate (couple) | Minimum term | Discount vs. $250 |
|---|---|---|---|
| Month-to-month | $250 | None | $0 |
| 3-month commitment | $225 | 3 months | $25 / month |
| 6-month commitment | $200 | 6 months | $50 / month |
| 12-month commitment | $175 | 12 months | $75 / month |
Individual (one-on-one) membership rates: set per client and written in A7, following the same structure.
Each membership includes up to 2 hours of session time per week, as described in Section 3.3 of the Agreement.
A month-to-month Client who stays enrolled earns lower rates automatically, with no commitment and no recapture:
A gap in membership of less than 6 months pauses the count. A gap of 6 months or more resets it.
A Client may choose a 3-, 6-, or 12-month commitment at signup (or at any later billing date) to receive that rate immediately. The commitment rate is billed monthly and is locked for the full term. When the term ends, membership continues month-to-month at the rate the Client has earned under A2, unless either party cancels. Months on a commitment count toward the A2 step-downs. For example, a Client who completes a 3-month commitment at $225 continues at $225, then moves to $200 starting month 7.
If a Client on a commitment term cancels before the term ends, the Client agrees to repay the discount received for each month already billed at the commitment rate. The Discount Recapture is a repayment of a conditional discount, not a penalty, and reflects the standard $250 rate for the months used.
Discount Recapture = (monthly discount) × (months billed at the commitment rate)
| Plan | Cancelled after | Recapture owed |
|---|---|---|
| 3-month ($225) | 1 month | $25 × 1 = $25 |
| 6-month ($200) | 2 months | $50 × 2 = $100 |
| 12-month ($175) | 5 months | $75 × 5 = $375 |
The Discount Recapture is charged to the payment method on file when the cancellation takes effect. No Discount Recapture is owed if the Coach ends coaching (Agreement, Section 8.2).
If a payment fails, the Client will be notified and has 7 days to update payment. Sessions may be paused until payment is current. After 14 days unpaid, the Coach may end coaching under Section 8.2.
The Client selects one plan: month-to-month ($250); 3-month commitment ($225); 6-month commitment ($200); 12-month commitment ($175); or an individual membership at a rate and term written in. The plan and start date are recorded when the Client signs.
In couples coaching the relationship is the client, so the Coach does not keep one partner’s secrets from the other, except where safety requires it.
Both partners enroll together under one membership. The Coach’s role is to support the relationship and both partners equally. The Coach will not take sides, act as a judge, or advocate for one partner against the other.
Either partner may book an individual session within the couple’s membership. Individual sessions count toward the shared 2-hour weekly cap. Individual sessions exist to help each partner prepare for and contribute to the joint work, not to build a separate private track.
Information either partner shares with the Coach, in an individual session, by message, or on the website intake form, may be brought into joint sessions when the Coach believes it is relevant to the couple’s work. The Coach will usually encourage the partner to share it themselves first and will give them a reasonable chance to do so.
Safety exception. The Coach will not disclose information to one partner if doing so could put the other partner, or anyone else, at risk of harm. This includes everything on each partner’s private safety check, which is never shared with the other partner.
If a partner is unwilling to have something shared (for example, an ongoing affair), the Coach may decide that joint coaching cannot continue honestly and may end or pause the couple’s membership under Section 8.2 of the Agreement.
Messages from one partner about the coaching may be shared with both partners. The Coach may copy both partners on scheduling and administrative emails.
If one partner chooses to stop coaching, the couple’s membership ends at the close of the current billing month. The remaining partner may convert to an individual membership (see B7) instead of cancelling.
If the partners separate during a commitment term, they may choose either:
The Coach will not coach both partners individually after a separation unless both agree in writing and the Coach believes it is appropriate.
An individual membership after conversion is a new coaching relationship. The confidentiality and no-secrets terms of this Schedule stop applying to future individual sessions, and Section 5 of the Agreement governs them.
The Coach collects only what coaching requires, keeps session notes minimal and de-identified, and does not record sessions except in the narrow cases in C4.
Only the Coach. Records may be shared only under Section 5.3 of the Agreement or with the Client’s written permission. Service providers (Cal.com, Stripe, SignWell, Google Workspace, Formspree, the secure safety-form service, and the video platform) process data only to provide their services.
Sessions are not recorded by default. A session may be recorded only when:
and only after every participant signs Schedule D for that recording. The Client may refuse without any effect on coaching.
Records are kept for 3 years after coaching ends, then securely deleted, unless a longer period is required by law or an open legal matter. A Client may request a copy of their records, or early deletion of anything not required to be kept, by email.
The Coach may access records while traveling outside the United States. Records stay in the same encrypted cloud services wherever the Coach is working. Data is accessed only over secure connections.
Email, text, and video are convenient but never perfectly secure. By providing an email or phone number, the Client accepts these risks. The Client should avoid sending highly sensitive information by text or email.
This form is used only when a specific session must be recorded; every participant signs a new one for each recording.
